Terms & Conditions

These Terms & Conditions (the "Terms") form a binding agreement between you and Predly ("Predly", "we", "us", "our"), the operator of the pre-order marketplace available at predly.app and through related applications (the "Service"). By creating an account, browsing the Service, placing an order or listing items, you accept these Terms. If you do not agree, do not use the Service.

Please read these Terms together with our Privacy Policy, which explains how we handle your personal data.

1. What Predly is — and what it is not

Predly is an online marketplace that connects customers with independent third-party importers ("Importers") who pre-order goods on behalf of customers ("Customers") through batch shipment windows ("Ordering Windows"). Predly provides:

  • A discovery surface to browse verified Importers, their catalogs and open Ordering Windows.
  • An escrow service that holds your payment until you confirm delivery, with auto-refund where the Importer cannot source your order.
  • An in-app messaging channel and a structured dispute-resolution process.

Predly is not the seller of the goods. Importers are independent businesses, not employees or agents of Predly. The sale contract for goods is between the Customer and the Importer. Predly is not the importer or exporter of record and does not take title to the goods.

Predly is also not a bank or licensed financial institution. Payment processing is provided by licensed Mobile Money operators and banking partners; Predly only holds funds in escrow in line with section 7 below.

2. Eligibility & accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • The Service is currently available only to residents of Ghana, transacting in Ghana Cedis (GHS).
  • You must provide accurate, current, complete information when registering and keep it up to date.
  • You are responsible for safeguarding your account credentials and all activity on your account. Notify us immediately at dev.thearchibold@gmail.com if you believe your account has been compromised.
  • You may only hold one Customer account and, separately, one Importer account.
  • We may refuse, suspend or terminate any account where we reasonably believe the user has breached these Terms, applicable law, or has otherwise put the Service or its users at risk.

3. Importer verification

Importers must complete manual verification before being made discoverable. This includes submitting a government-issued ID, business details where applicable, and a verified phone number. Verification reduces risk but does not guarantee any specific outcome on any order; Customers should still review ratings, history and reviews before purchasing.

4. Ordering Windows & catalogs

  • Each Importer may run one open Ordering Window at a time. A Window has a deadline (closes_at), a shipment type (sea, air or land), and an estimated delivery range.
  • Orders placed before the deadline are bundled into that shipment. After the deadline, the Window auto-closes and no new orders are accepted for it.
  • Importers maintain a catalog of items they regularly source. Per-Window availability and price overrides are at the Importer's discretion.
  • Carts are per-Importer, per-Window. Items from different Importers form separate carts and cannot be bundled into one order.
  • Prices are quoted in Ghana Cedis (GHS) and are inclusive of any Importer mark-up. Predly's platform fee is shown separately at checkout.

5. Custom requests & quotes

  • Customers can submit a Custom Request for an item that is not in an Importer's catalog. The Customer may include a description, photo, reference link, quantity and optional target budget.
  • The Importer may decline or reply with a quote (unit price and lead time). Quotes are valid for 48 hours unless otherwise stated.
  • An order is created only once the Customer accepts the quote and pays. Until then, neither party is committed.

6. Fees & payments

  • Platform fee. Predly charges a platform fee of 5% of the order subtotal. It is shown as a separate line at checkout and is included in the total you pay.
  • Payment method. Payments are made through Mobile Money (MTN MoMo, Vodafone Cash, AirtelTigo Money) and, where available, other supported methods. By paying, you authorise the relevant provider to debit your wallet for the total amount shown.
  • Currency. All amounts are in Ghana Cedis (GHS). You are responsible for any currency conversion charges your provider imposes if you fund your wallet in another currency.
  • Taxes. Importers are responsible for declaring and paying their own business taxes, import duties and customs charges on goods. Predly is responsible only for tax on its own platform-fee revenue.
  • Failed payments. If payment fails or is reversed, the order does not enter escrow and is not created.

7. Escrow & funds release

All Customer payments (subtotal + platform fee) are held in a Predly- controlled escrow account on your behalf. Funds are released as follows:

  • Normal release. When the Customer confirms delivery (or does not file a dispute within 3 days of the order being marked as Delivered), the order subtotal is released to the Importer and the platform fee is retained by Predly.
  • Unable to source. If, after the Window closes, the Importer marks the order as unable_to_source, the order is cancelled and the full amount paid (including platform fee) is auto- refunded to the Customer's Mobile Money wallet. No admin action is required.
  • Cancellation before sourcing. If the Importer cancels for any other reason before sourcing, the Customer receives a full refund.
  • Disputes. See section 10. Disputed funds are held until the dispute is resolved.

Escrow funds do not earn interest for any party. Predly may deduct chargeback, reversal or fraud-related fees from amounts due to a user where they relate to that user's order.

8. Importer obligations

  • Provide accurate listings, prices, shipment types and estimated delivery ranges.
  • Source ordered goods promptly after the Ordering Window closes and update each order's status truthfully (sourced, unable_to_source, shipped, etc.).
  • Upload tracking information (carrier and tracking number) when goods leave the supplier.
  • Comply with all applicable laws, including customs, import, tax and consumer protection law.
  • Respond to Customer messages and Predly support requests within a reasonable time.
  • Provide accurate payout details and keep them up to date.

9. Customer obligations

  • Provide an accurate delivery address and contact number.
  • Be available to receive delivery at the agreed location.
  • Inspect goods on delivery and confirm receipt — or file a dispute — within 3 days of the order being marked Delivered.
  • Treat Importers and support staff with respect. Abusive behaviour may result in account suspension.
  • Pay any local last-mile delivery, customs or government charges that the Importer reasonably notifies you of before checkout.

10. Disputes

  • You may file a dispute on an order in the Delivered state, or up to 3 days after the order moves to Confirmed, for any of: damaged goods, wrong item, not as described, never arrived.
  • To file a dispute, complete the in-app dispute form including photos (up to 5), a description and your requested outcome (full refund, partial refund or replacement).
  • Predly will review the dispute, may access the relevant in-app chat history, and may contact both parties. Our target response time is 48 hours.
  • Possible outcomes: approved refund, approved replacement, partial refund, or denied (no action). Predly's decision is final for the purposes of the escrow, but it does not prevent either party from pursuing other legal remedies.
  • WhatsApp messages and other off-platform conversations are not considered as evidence. Use the in-app chat for anything you may need to evidence later.

11. Reviews & ratings

  • Customers may leave one review per completed order, including a star rating, optional written text and a recommendation flag.
  • Reviews must be honest, lawful, and based on a real transaction. Do not include personal data of the Importer's staff or unrelated complaints.
  • Predly may remove reviews that violate these Terms, contain unlawful content, or relate to a Customer who never paid.

12. Acceptable use & prohibited content

You may not use the Service to:

  • Buy, sell or arrange the importation of items that are illegal in Ghana, including weapons, controlled substances, counterfeit goods, endangered wildlife, hazardous materials and items subject to sanctions.
  • Impersonate another person, business or government entity.
  • Circumvent the platform's escrow by asking a Customer to pay you off-platform, or by directing a Customer to complete the transaction outside Predly.
  • Manipulate ratings or reviews, including by exchanging reviews or paying for reviews.
  • Upload content that is defamatory, harassing, obscene, infringes intellectual property, or violates anyone's privacy.
  • Probe, scan or otherwise interfere with the security or integrity of the Service, including scraping at a rate that disrupts normal use.
  • Use the Service for money laundering, terrorism financing, or any other unlawful purpose.

We may suspend or terminate access, withhold escrow funds pending review, and report to authorities where we reasonably believe these Terms or the law have been violated.

13. Messaging

Our in-app chat is the primary communication channel between Customer and Importer. You agree that:

  • System messages may be posted automatically when key events occur (quote sent, order placed, shipped, refunded, etc.).
  • Predly admins may read the full thread history between a Customer and an Importer where there is an active dispute between them, for the purpose of resolving that dispute.
  • Messages are immutable — you cannot edit or delete a sent message, although you may flag it for review.
  • WhatsApp links are provided as a fallback only and are governed by WhatsApp's own terms. Conversations there are not covered by dispute protection.

14. Intellectual property

Predly, our logo and the look and feel of the Service are protected by intellectual property laws. We grant you a personal, non-exclusive, non- transferable, revocable licence to use the Service in line with these Terms. You may not copy, modify, reverse-engineer or create derivative works of the Service.

You retain ownership of content you upload (catalog photos, reviews, dispute evidence, messages). By uploading content, you grant Predly a worldwide, royalty-free, non-exclusive licence to host, store, display and process that content as needed to operate the Service. You confirm that you have the right to grant this licence.

15. Third-party services

The Service relies on third parties for authentication (Clerk), Mobile Money processing, cloud hosting, transactional email and push notifications (OneSignal). Their performance is outside our direct control. Your use of such services may be subject to their own terms. Predly is not responsible for outages or failures of third-party services beyond our reasonable control.

16. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Predly disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that information shown will always be accurate.

Predly does not warrant the quality, safety, legality or descriptions of goods sourced by Importers. Predly is not the merchant of record for third-party goods.

17. Limitation of liability

To the maximum extent permitted by law, Predly's total aggregate liability to you for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the total platform fees you have paid Predly in the 6 months immediately preceding the event giving rise to the claim, or (b) GHS 1,000.

Predly is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data, loss of goodwill, or damages arising from delays or non-delivery of goods by an Importer beyond the refund or replacement available under the escrow and dispute process.

Nothing in these Terms limits liability that cannot be limited under Ghanaian law, including liability for fraud or for personal injury caused by negligence.

18. Indemnity

You agree to indemnify and hold harmless Predly and its officers, employees and contractors from any claim, loss, liability or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your breach of any applicable law; (c) for Importers, claims relating to the quality, legality, description or delivery of goods you sold; (d) content you upload to the Service.

19. Termination

  • You may close your account at any time from your account settings or by emailing dev.thearchibold@gmail.com. Open orders must complete or be resolved before closure.
  • We may suspend or terminate your access immediately and without prior notice if we reasonably believe you have breached these Terms, applicable law, or are creating a serious risk to other users or to Predly.
  • On termination, sections that by their nature should survive (including sections 7, 14–18 and 20) continue to apply.

20. Governing law & disputes between you and Predly

These Terms are governed by the laws of the Republic of Ghana. Any dispute between you and Predly arising out of or relating to the Service or these Terms will first be addressed by good-faith negotiation. If it cannot be resolved within 30 days, it will be referred to mediation under the Alternative Dispute Resolution Act, 2010 (Act 798). Failing mediation, the courts of Ghana (sitting in Accra) have exclusive jurisdiction.

This section governs disputes between you and Predly. It does not affect the dispute-resolution process for orders between Customer and Importer, which is covered by section 10.

21. Changes to these Terms

We may update these Terms from time to time. For material changes we will give you at least 14 days' notice by email or in-app notice before the new version takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not accept the changes, please stop using the Service before the effective date.

22. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Predly regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in force.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign your rights under these Terms without our consent. We may assign ours to a successor on prior notice to you.
  • Notices. Legal notices to Predly must be sent to dev.thearchibold@gmail.com. Notices to you will be sent to the email address on your account.
